These Terms of Service ("Terms") govern the use of the SaaS financial dashboard (the "Service") provided by Penny Empire, LLC ("Company," "we," "us," or "our") to Realtor Associations ("Association," "Customer," or "you"). By accessing or using the Service, you agree to be bound by these Terms.

1. Scope of Service

Penny Empire, LLC provides a cloud-based platform for the storage, analysis, and visualization of financial data uploaded by the Association. We provide the tools for the dashboard; the accuracy of the output depends entirely on the data provided by the Association.

2. Subscription and Fees

  • Monthly Billing: The Service is billed on a month-to-month basis.
  • Prepayment: If the Association chooses to prepay for multiple months (e.g., an annual billing cycle), the funds remain the property of the Association until the start of each applicable service month.
  • Payment Responsibility: The Association is responsible for all fees associated with its account. Failure to pay may result in temporary suspension of Service.

3. Cancellation and Refund Policy

We believe in the flexibility of our platform.

  • Cancellation at Any Time: You may cancel your subscription at any time through the account settings or by contacting our support team.
  • Pro-Rated Refunds: Upon cancellation, any prepaid, unused full months will be returned to the Association within 30 days.
  • Final Month: Partial months are typically not refunded; the Service will remain active until the end of the current billing cycle unless otherwise requested.

4. Data Rights and Use

  • Your Data: The Association owns all financial data uploaded to the Service.
  • License to Host: You grant Penny Empire, LLC a limited, non-exclusive license to host, copy, and display your data solely for the purpose of providing the Service to you.
  • Aggregated Data: We may use anonymized, aggregated data (which cannot be traced back to any specific Association or individual) for internal benchmarking or to improve Service performance.

5. Acceptable Use

The Association agrees not to:

  • Reverse engineer the dashboard software.
  • Upload malicious code or use the Service for any illegal financial activities.
  • Attempt to access the data of other Penny Empire, LLC customers.

6. Limitation of Liability

To the maximum extent permitted by law, Penny Empire, LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Service. We do not provide financial auditing or accounting services; the dashboard is a visualization tool only.

7. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access the Service will cease, and data will be handled according to our Privacy Policy.

8. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of San Bernardino County.
